Mergers and Acquisitions

SPP advises clients with regard to decisions concerning potential mergers and acquisitions.
Specific responsibilities for clients which include both strategic industry buyers and financial
buyers are: recommending target markets, initiating contacts and discussions with potential
sellers and/or merger partners, structuring and negotiating the final purchase agreement or
merger documents, managing all the other professionals required to complete a transaction.

Sales Mandates/Divestitures

SPP assists and advises its clients who are exiting the electronic security industry by creating
and managing all aspects of a sale process which maximizes value for sellers, while
minimizing the impact of the process on the existing operations, employees, and customers of
the selling entity. Toward that goal, SPP can analyze and assemble all the relevant financial
data of the selling entity to determine the fair market value of the operating business and
prepare all necessary descriptive material to distribute to potential qualified buyers. SPP
assists and advises in negotiating, structuring, and completion of all aspects of sale
transactions from initial contact of qualified buyers through the closing of the transaction.

Fair Market Valuations

SPP provides fair market valuations to clients as necessary and required. Fair market
valuations are based on SPP’s knowledge of and experience in transactions within the
electronic security industry. Included are lender portfolio valuations and assessments.

Business and Financial Consulting

SPP consults with its clients regarding a broad cross section of business and financial
aspects. SPP provides operational and financial oversight and consulting to operators within
the electronic security industry as well as to lenders and investors to the industry. Additionally,
SPP negotiates credit facilities and capital restructurings, disposes of assets used to secure
indebtedness, manages secured party sales, and manages competitive asset dispositions
processes.

Business and Acquisition Due Diligence

SPP provides due diligence services to existing companies within the industry as well as new
potential entrants to the industry. Included is diligence on existing operations as well as full
diligence on all aspects of the business and operations of a merger or acquisition target,
investment opportunity, or loan prospect. Diligence includes detailed analysis on the recurring
monthly revenue of the subject, cash testing, central station operations, financial performance,
and management review.
